SYNCHRONIZATION AND MASTER USE LICENSE
This Synchronization and Master Use License (“License”) is entered into by and between CopyrightFreeMusic.com (“Licensor”) and you (“User”). The copyrighted material (“Work”) offered by Licensor under this License is provided solely under the terms of this License. The Work is protected by copyright, and any use of the Work other than as specifically authorized by this License or applicable copyright law is prohibited.
By accessing, streaming, downloading, or otherwise using the Work(s) provided by Licensor in any manner, User agrees to be bound by the terms of this License.
DEFINITIONS

“Property” refers to the sound recordings and musical compositions provided by Licensor.

“User Content” refers to the User’s videos, live streams, podcasts, or other media in which the Property is incorporated.

“Licensor” refers to CopyrightFreeMusic.com.
1. Grant of License

For good and valuable consideration, receipt and sufficiency of which is hereby acknowledged, Licensor grants User a gratis, worldwide, non-exclusive, royalty-free, nontransferable, non-assignable license to use, copy, publicly perform and display, and synchronize with video, the Property made available by Licensor through its website, streaming services (e.g., Spotify, Apple Music, YouTube), or, in the future, direct downloads from Licensor’s platforms.

This License applies to each and every Work accessed, streamed, or downloaded by User from Licensor’s platforms, whether via streaming services or, in the future, downloaded directly from Licensor’s platforms.
2. Usage Rights

The Property may be used solely and exclusively in connection with User’s content, including but not limited to videos, live streams, podcasts, or other media (“User Content”), on platforms such as Twitch, YouTube, Spotify, Apple Music, and similar services, in perpetuity.

User shall not be obligated to pay Licensor royalties for the use of the Property, except in jurisdictions where the right to collect royalties through any statutory or compulsory licensing scheme cannot be waived. In such cases, Licensor reserves the right to collect such royalties for any exercise by User of the rights granted under this License.
3. Restrictions

All rights not expressly granted by Licensor are reserved. User may not sublicense the Property or assign this License to any other person or entity.

User shall not: a. Make available, reproduce, distribute, resell, or perform the Property separately from the User Content into which it has been incorporated (e.g., standalone distribution, performance, sale, or reproduction of the Property is prohibited). b. Use the Property in connection with defamatory, fraudulent, pornographic, or illegal content, or any depictions of illegal activity. c. Make any changes to the Property, including creating derivatives, sampling, remixing, or other edits. d. Alter the Property, including changing its harmonic structure or melody.
4. Attribution

In connection with each use of the Property, User shall use reasonable efforts to provide attribution to Licensor by including: “Music provided by CopyrightFreeMusic.com” and, if provided, the name of the author and title of the Work.

User may not imply any connection with, sponsorship, or endorsement by Licensor of User or User’s use of the Property without prior written permission from Licensor.
5. Indemnification

Licensor agrees to defend, indemnify, and hold harmless User from claims, damages, or expenses arising solely from Licensor’s violation of third-party rights in or to the Property, including copyrights.

User agrees to defend, indemnify, and hold harmless Licensor, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, or expenses (including attorney’s fees) arising from: a. User’s violation of any term of this License. b. User’s use of the Property, except for matters subject to Licensor’s indemnity obligations. c. Any false copyright claims or infringement notices related to User’s use of the Property.
6. Warranties and Disclaimers

LICENSOR PROVIDES THE PROPERTY AS-IS AND MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, OR THE ABSENCE OF DEFECTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THIS EXCLUSION MAY NOT APPLY TO USER.

EXCEPT AS REQUIRED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF THIS LICENSE OR THE USE OF THE PROPERTY. THE LIMITATION OF LIABILITY SET FORTH IN THIS SECTION SHALL NOT APPLY TO DAMAGES ARISING FROM LICENSOR’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

Licensor offers support for the Property but is not liable for false copyright claims or infringement notices. User acknowledges that resolving such claims is User’s responsibility.
7. Public Performance

User acknowledges that commercial public performance of the Property may require licenses from performing rights organizations such as ASCAP, BMI, or SESAC. User is responsible for obtaining and paying for any necessary public performance licenses.

This License includes the right to noncommercially publicly perform the Property as incorporated in User Content.

8. Age Restriction

User affirms that they are over the age of 13. If User is under 18 years of age, User affirms that their parent or legal guardian has reviewed and agreed to this License on their behalf.
9. Governing Law

This License shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. Any action to enforce or interpret this License shall be brought exclusively in the courts of Alachua County, Florida.
10. Miscellaneous

This License constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior agreements or understandings.

No provision may be waived unless in writing and signed by both parties. The failure to enforce any provision shall not constitute a waiver of that or any other provision.

If any provision is held invalid, the remaining provisions shall remain in full force and effect.
